The grant is a credit against NXTKey and Smart Biz IT invoices and is not disbursed as cash

The grant applies only to the initial MVP development and cybersecurity scope as defined in the signed SOW; it does not apply to post-MVP feature work, ongoing maintenance, hosting fees, or third-party licenses

The grant cannot be combined with other NXTKey / Smart Biz IT discounts or promotional offers unless explicitly approved

If a startup withdraws from the engagement before reaching the agreed first milestone, the grant credit is forfeited

The grant does not create any equity, debt, or ownership relationship between NXTKey Labs / Smart Biz IT and the startup

NXTKey / Smart Biz IT retains no IP rights to the product being built; all work product transfers to the startup per the SOW

Grant recipients agree to allow NXTKey Labs / Smart Biz IT to reference the engagement in case studies and marketing materials (specifics negotiable)
